ASRL Charter


Article I. Mission Statement

The American Sim Racing League (known as The League in the remainder of this document) is an informal not for profit organization which promotes the sport of online simulation racing as its primary goal. The ongoing mission of this organization is to provide the support necessary to further this goal.

Purpose

The League is a not for profit association and is not organized for the private gain of any person or company.

The purposes of The League are to:
• Ensure that members experience a competitive and friendly atmosphere.
• Eliminate potential problems that may arise within the competitive nature of online racing, by assuring that the actions of all members are within The League Rules and Regulations.
• Define and establish a set of Guidelines through which individual Series are sanctioned by The League.
• Define and establish a set of Rules and Regulations to provide an organized and enjoyable atmosphere for all members.
• Maintain these Rules and Regulations to keep current with any and all advances in the sim racing community and with the software supported.
• Maintain and make available a central website through which all sanctioned Series and all members are given a high level of support.
• Lease and make available online servers through which all sanctioned Series can hold their events.

Article II. Membership

General Members

General members are individuals who follow the established registration process and accept this charter. They are eligible to:
• Participate in any League Sanctioned Series once they follow that Series’ Application procedure.
• Gain access to the League Member Area and utilize all services made available to Members of The League.
• Receive communications and announcements distributed via the membership email list.

Administration

Administrators are individuals who are tasked with the operations of The League and accept this charter. They are, in addition to all the privileges of general members, eligible to:
• Participate in decisions related to the operations of The League.
• Participate in any Board of Directors meetings.
• Vote on recommendations to The League operational procedures.
• At the discretion of The League Board of Directors, advisors may be selected to participate at the Board of Director level for the purpose of advisement and consultation.

Article III. Administration

League Founders

The League Founders are those who were instrumental in creating The League. They are the Board Members who appoint additional Board Members when required, and retain full veto power over all operations of the League.

The League Founders are:
• Mark Demyan
• Rich Koehler
• Dave Holzwarth

Board Members

The term of an appointed Board Member shall be at the discretion of the League Founders. The Board will be composed of the following League members:

• President ~ Rick Thompson
• Vice-President ~ Casey Campbell
• Director of Operations ~ Daniel Julian
• Rules Committee Chairman ~ Open
• Treasurer ~ Daniel Julian

Board of Directors

The League Board of Directors will be comprised of Appointed Members, selected by the League Founders. Responsibilities of each Board Member, as based on their position, will be:

President
• Oversee operation of the League.
• Mediate any and all situations within the Administration as well as the Membership if necessary.

Vice-President
• Assist President in operation of The League.
• Oversee The League Member Status’.
• Review and processing of all Status Review Requests, gathering as much information as possible during the review, including contact with applicable Series Directors.
• Assessment of individual Member Status Levels

Director of Operations
• Insure that The League Rules and Regulations are being properly enforced.
• Insure that The League Rules and Regulations are current and reflect the software currently supported by The League.
• Insure sanctioned Series operate within The League Charter, in conjunction with League Rules and Regulations, League Divisional Structure, and in accordance with Sanctioning Guidelines.
• Insure that any Penalties issued are properly assessed and subsequently documented on Penalties Page.
• Act as Sanctioning Committee Chairman.

Treasurer
• Maintain and monitor all financial records concerning the operation of the league.
• Review and evaluate all requests for league expansion which require league funds to accomplish or maintain.
• Ensure all financial obligations for the league are met in a timely manner.
• Report to the President and VP quarterly concerning the league budget and finances.

Article IV. Officers

The President shall be Chief Executive Officer of the League and shall serve as Chair of the Board of Directors and preside over all Board and/or League meetings and operations.

Each sub-committee will have a Chair, who is also a member of the Board of Directors, to preside over meetings and conduct the business of the committee. Sub-Committees include the Rules Committee, Protest Review Board, and Sanctioning Committee.

The term of an appointed Sub-Committee Chair shall be at the discretion of the League Founders, and is currently an open term. A Sub-Committee Chair may be re-elected based upon the majority vote of the Board of Directors.

Article V. League Operations

Rules Committee

The Rules Committee reviews and maintains The Rules and Regulations of this League.

The Order of Business is:
• The Rules Committee is tasked with the review and maintenance of all League Rules and Regulations, including the League Divisional Structure.
• The Rules Committee will periodically review all applicable League Rules and Regulations and The League Divisional Structure to insure they remain in accordance with any and all changes within the sim racing community and supported software.
• All modifications and/or changes to The League Rules and Regulations and The League Divisional Structure will be enacted with a majority vote by The League Rules Committee.
• All directives issued by The Committee will be reviewed by The Board Of Directors, for their comment, before being adopted as League policy. The League President will insure all League Administrators and Members are informed of these directives.
• The Rules Committee Chairman will oversee all actions by the Committee and will monitor by League Series Directors to insure compliance with established League Rules and Regulations.
• The League Board of Directors and/or League Members cannot tamper with directives issued by The Committee or intimidate any Committee Member in order to sway their decision.
The Requirements of the Committee are:
• The Committee is overseen by the Chair. The Chair is the Rules Committee Chairman, who sits on the League Board of Directors.
• Committee shall be made up of at least 3 members.
• Committee members will conduct their business in a private and confidential manner.
• Committee members will not leak information concerning proposed changes, modifications, or additions to The League Rules and Regulations or The League Divisional Structure to any person or persons not directly related to the Committee.
• The Committee Chair will forward for review any and all League Rules and Regulations modifications or additions in an Official Statement to The League Board of Directors.
• At the discretion of the Committee Chair, advisors may be selected to participate at the Committee level for the purpose of advisement and consultation.

Sanctioning Committee

The Sanctioning Committee oversees the current Series sanctioned by this League, and also reviews applications from new Series for proposed sanctioning by The League.

The Order of Business is:
• The Sanctioning Committee is tasked with the review of all League Sanctioned Series to insure their compliance with all League Sanctioning Guidelines.
• The Sanctioning Committee can impose penalties on Sanctioned Series for failure to follow Sanctioning Guidelines. Penalties can include loss of access to servers, loss of links from The League website, loss of access to League supplied web server space for the Series website, and loss of support from the League until such a time as the Sanctioned Series comes into compliance with The League’s Sanctioned Series Guidelines. Failure to come into compliance will result in permanent dismissal of said Series Director(s) from The League.
• The Sanctioning Committee will periodically review The League Sanctioning Guidelines to insure they remain in accordance with any and all changes within The League, the sim racing community, and supported software.
• All modifications and/or changes to The League Sanctioning Guidelines will be enacted with a majority vote by the Board of Directors prior to being posted.

The Requirements of the Committee are:
• The Committee is overseen by the Chair. The Chair is the League Director of Operations, who sits on the League Board of Directors.
• Committee shall be made up of at least 2 members.
• Committee members will conduct their business in a private and confidential manner.
• At the discretion of the Committee Chair, advisors may be selected to participate at the Committee level for the purpose of advisement and consultation.

League Sanctioned Series Guidelines
• All entities Sanctioned by The League are known as Series.
• All League Series will follow established League Rules and Regulations and The League Divisional Structure without modifications to such, unless given special permission by The League Sanctioning Committee.
• All Sanctioned Series must carry The League logo and/or League Name on all Series pages. There must be a link back to The League website on the main Series web page.
• All Sanctioned Series participants must be registered with the League unless that sanctioned series is given permission to act in a recruiting manner for the league.
• Sanctioned Series Directors become part of the League Administration.
• All Sanctioned Series will receive the following benefits by becoming part of The League.
o Placement of links to their Website on the main League site.
o Access to the facilities offered to Series Directors by The League.
o Access to the Servers maintained by the League.
o Access to free web space at The League domain.
o Access to upload Series files to The League site for download by members.
o Access to the full support structure the League offers all of its Sanctioned Series.

Article VI. Funding

Donations

All dues and donations are put towards the League’s Server and Web Fees Fund with no portion being used as compensation for any League Administrators.

Sponsorships

All prizes donated by a sponsor are given to the members who earn them. Sponsors receive free advertising on The League website in return for their donations. Pop-up and Pop-Under type ads are not permitted.

Article VII. Dissolution

If in the interest of The League and the sim racing community in general, if it becomes necessary to dissolve The League, that decision can only be made by a unanimous decision of the League Founders. If this becomes a reality, all Sanctioned Series will be given the chance to finish their current seasons, and any remaining funds held by The League will be distributed to one or more charitable organizations to be selected by The Board of Directors.
